Demand, sue, or attach the assets of Subsidiary before proceeding against Guarantor for payment under this Guarantee;
Require Creditor to proceed against Subsidiary or any other person or entity before proceeding against Guarantor for payment under this Guarantee;
Assert any defenses, counterclaims, or setoffs that Subsidiary may have against Creditor; and
Receive notice of acceptance of this Guarantee, any forbearance by Creditor, or any default by Subsidiary.
This Guarantee shall be governed by and construed in accordance with the laws of the State of [State].
